Terms & Conditions of Sale (B2B)

These Terms & Conditions (“Terms”) govern all sales of goods and services by JM Wholesale Ltd, 1 Brook Street, Whetstone, Leicester, LE8 6LA, United Kingdom (Company No. 10569027) (“we”, “us”, “our”) to business customers (“you”, “your”).

By placing an order with us, you confirm that you are acting in the course of business and agree to be bound by these Terms.

1. Business Customers Only

We sell exclusively to businesses. You confirm that you are purchasing goods for resale or business use and not as a consumer. Consumer protection legislation (including consumer cancellation rights) does not apply.

You confirm that you have authority to bind the business on whose behalf you place an order.

2. Age‑Restricted Products

Many of our products are age‑restricted (including vaping, CBD, and smoking‑related products).

By placing an order, you confirm that:

  • You are at least 18 years old;
  • You will not sell or supply these products to persons under 18;
  • You will comply with all applicable UK laws and regulations relating to age‑restricted products.

We reserve the right to suspend or terminate accounts where misuse or non‑compliance is suspected.

3. Product Compliance (CBD & Regulated Products)

Where products contain CBD:

  • All products are supplied as non‑medicinal food supplements;
  • Products comply with UK legal requirements, including THC limits;
  • No medical or therapeutic claims are made or authorised.

You are solely responsible for ensuring that products are lawfully marketed, labelled, and sold in your intended market.

4. Orders

All orders are subject to acceptance by us. We reserve the right to:

  • Refuse or cancel orders;
  • Impose credit limits;
  • Require pro‑forma payment at any time.

Order confirmations do not constitute acceptance until payment is received (where applicable) and goods are allocated.

5. Pricing & Payment

All prices are quoted exclusive of VAT, unless stated otherwise.

Payment terms are as agreed in writing. We reserve the right to:

  • Charge statutory interest on overdue amounts;
  • Recover reasonable debt‑collection costs;
  • Suspend supply while balances remain outstanding.

6. Delivery & Risk

Delivery dates are estimates only. Time is not of the essence.

Risk in the goods passes to you on delivery. Title to goods remains with us until payment is received in full.

We are not liable for delays caused by factors beyond our reasonable control, including supplier disruption, courier delays, or regulatory changes.

7. Inspection & Claims

You must inspect goods on receipt.

Any claims for shortages, damage, or incorrect supply must be notified in writing within 48 hours of delivery. Failure to do so constitutes acceptance of the goods.

8. Returns & Refunds

Returns are accepted only by prior written agreement.

Unless otherwise agreed:

  • Goods must be unused and in original packaging;
  • Return shipping is at your cost;
  • Approved refunds may be issued as account credit.

Customised, clearance, hygiene‑sealed, and regulated products are non‑returnable.

9. Product Use & Resale

You are responsible for:

  • Safe storage, handling, and resale of products;
  • Compliance with all applicable laws and standards;
  • Ensuring that no misleading, unlawful, or medical claims are made.

We accept no liability for misuse, modification, or onward sale of products.

10. Limitation of Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

Subject to the above, our total liability shall not exceed the value of the relevant order.

We are not liable for indirect, consequential, or economic losses, including loss of profit, revenue, or business.

11. Indemnity

You agree to indemnify and hold us harmless against all claims, losses, and liabilities arising from:

  • Your resale or use of the goods;
  • Breach of these Terms;
  • Regulatory or legal non‑compliance.

12. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including but not limited to supplier failure, transport disruption, regulatory changes, or acts of government.

13. Intellectual Property

All intellectual property relating to the Site and products remains our property or that of our licensors. No rights are granted other than as necessary to resell products lawfully.

14. Suspension & Termination

We may suspend or terminate your account immediately if:

  • You breach these Terms;
  • Payment is overdue;
  • We reasonably suspect unlawful activity or misuse.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

16. General

These Terms constitute the entire agreement between the parties. No waiver is effective unless in writing. If any provision is held unenforceable, the remainder shall remain in force.

We reserve the right to update these Terms at any time. Continued trading constitutes acceptance of updated Terms.
